GENERAL TERMS AND CONDITIONS OF CONTRACT

PLEASE NOTE THAT THIS ENGLISH TRANSLATION HAS BEEN PROVIDED FOR YOUR CONVENIENCE ONLY. THE LEGALLY BINDING TEXT IS THE ITALIAN VERSION OF THIS CONTRACT.

PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE ENTERING INTO A CONTRACT WITH HEXATION S.R.L. FOR THE SERVICES OFFERED THROUGH EVIENTS.

  1. Definitions

    The terms indicated in these General Conditions shall have the meanings set forth below, with the clarification that terms indicated in the singular shall also refer to the plural and vice versa.

    • “General Terms and Conditions of Contract (GTCC)”: these Conditions, which govern the Contract between Hexation and the User concerning the execution of the Services described below.
    • “Hexation”: Hexation S.r.l., a company established under Italian law, registration number BO-542527, with registered office in Bologna, via Giuseppe Rolli n. 8/b, VAT number and tax code 03735511200.
    • “Evients”: the platform consisting of the Website and related App through which Hexation offers the Services described below.
    • “Services”: the services of presenting Events and selling Tickets to access them, offered by Hexation through Evients to its Users.
    • “Ticket”: the digital document issued by Evients that allows the Holder of the Ticket to access the Event venue.
    • “Ticket Holder” or “Holder”: the individual (User or third party identified by the User) who legitimately holds the Ticket in accordance with these GTCC.
    • “User”: a natural person over the age of sixteen or a legal entity that subscribes to these General Conditions.
    • “Purchase Proposal”: the submission of a request by the User by selecting the Event that the User or the third party identified by the User intends to attend and completing the order form, which has the value of a contractual proposal.
    • “Contract”: the relationship established between Hexation (which acts as an intermediary between the Organizer and the User for the sale of Tickets) and the User (to whom Hexation charges a commission for the Ticket sales Service) governed by these General Conditions, which shall be deemed concluded at the moment the User receives an email from Evients confirming the successful purchase of the Ticket.
    • “Consumer Code”: Legislative Decree No. 206 of September 6, 2005.
    • “Consumer”: the subject defined as such by Article 3 of the Consumer Code.
    • “Organizer”: the subject who intends to promote the Event through Evients and/or on whose behalf Hexation sells the Tickets to access it.
    • “Event”: any single or articulated manifestation in terms of duration and/or number of entertainment or performance artists to which the Ticket Holder has access.
    • “Website” or “Site”: the Site www.evients.com, managed and owned by Hexation, where it is possible to register and use the Services offered by Evients.
    • “Evients Application” or “App”: the mobile application managed and owned by Evients through which it is possible to register and use the Services offered by Evients.
  2. Object of Contract

    1. This Contract concerns the sale of Tickets for participation in Events and is governed by Articles 50 et seq. of the Consumer Code in the event that the User is a natural person.
    2. These General Conditions shall remain valid and effective until modified or supplemented by Hexation. Any modifications and/or supplements to the General Conditions shall be effective from the date they are communicated to the public and shall apply to purchases made from that date. The latest updated version of the General Conditions is available on Evients.
  3. Registration

    1. The User must register on Evients in the “Register” area before proceeding with the purchase. Registration is free. By registering, the User accepts the Terms of Use and the Privacy Policy of Evients, which can be consulted via the link in the footer of the Evients homepage.
    2. Registration - which occurs by entering credentials (first name, last name, date of birth, gender, email address, and personal secret password) - allows the User to manage their Evients account, access their personal area, modify the entered data, place and verify their orders, and generally use all the Services of Evients.
    3. By registering, the User agrees to provide truthful and correct data and to report any violations of their account to Hexation. The User agrees to indemnify Hexation for any damages resulting from the entry of false, incorrect, third-party data, and/or data that do not correspond to the truth.
    4. The User is not permitted to make multiple registrations, and Hexation reserves the right to close accounts that violate the registration rules set forth in this point 3).
  4. Purchase of Tickets

    1. The User completes an electronic order form by entering the data requested by Evients and accepting these General Terms and Conditions of Contract. At the end of the completion, the User will be invited to review and, if necessary, correct the data entered before proceeding with the submission of the Purchase Proposal. Hexation reserves the right to request an identification document to verify the accuracy of the entered data.
    2. The acceptance by Hexation of the contractual proposal made by the User in the manner described in the preceding point will be communicated through an order confirmation sent to the email address provided by the User at the time of the order and/or made available in their Evients account in the “My Orders” section, which can be accessed via the Site and App. The order confirmation - in fulfillment of the informational obligations incumbent on Hexation - summarizes the details of the order placed and illustrates the essential information related to the purchased Ticket, in particular: name of the Event, name and surname of the Ticket Holder in the case of a nominal ticket, date, time, location of the Event, and items that make up the price.
    3. At the time of purchase - subject to the availability of Tickets - the User has the option to select the quantity, type, and (if possible) the location of the seats and indicate, if different from the User, the person who will attend the Event in the case of a nominal ticket. The set of information related to the purchased Ticket will then be provided and summarized in the confirmation email referred to in point 4.2).
    4. Orders placed in accordance with the procedures set forth in the previous point 4.1) will be processed by Evients in chronological order. It will not be possible to complete the purchase in the event of:
      1. exhaustion of Tickets occurring while the User was generating the order;
      2. expiration of the time allowed to make the purchase;
      3. closure of the purchase by the Organizer.
    5. Hexation reserves the right to re-sell Tickets for which the purchase process has not been successfully completed, including but not limited to:
      1. voluntary abandonment of the purchase;
      2. expiration of the time allowed to make the purchase;
      3. transaction not executed or not successfully completed.
    6. Hexation reserves the right to refuse or cancel orders placed by users:
      1. with whom there are ongoing and/or defined judicial and extrajudicial disputes;
      2. who have already committed violations of these GTCC;
      3. who have been perpetrators and/or involved in any type of fraud, including those related to online payments;
      4. who have provided false and/or incorrect identification data;
      5. who have not promptly transmitted, when requested by Evients, a valid identification document;
      6. who, in violation of the provisions of the previous 3.4), have made multiple registrations.
  5. Price and Payments

    1. The price of the Ticket is already visible at the time of selecting the Event and is not subject to change during the purchase procedure. This price consists of the entry cost to participate in the Event and any pre-sale rights determined by the Organizer, as well as the commission applied by Evients for the Service offered, the amount of which varies depending on the selected Event.
    2. The individual items that make up the price of the Ticket (entry, pre-sale rights) will be made visible to the User in the “Order Summary” preceding the payment and will also be reported in the confirmation email referred to in point 4.2) as well as on the Ticket. Prices are expressed in euros and include VAT.
    3. The payment for the Ticket will occur at the time of the order through the payment platform in use on Evients, by charging the price to a credit card or prepaid card registered in the name of the User or that the User is authorized to use.
    4. By saving a card, the User authorizes Evients to request payments from the account of their card to the financial institution that issued it, according to the methods provided by the terms of use of Evients.
  6. Delivery and Retention of the Ticket

    1. The Ticket in digital format (QR Code) is delivered to the User after purchase to the email address provided at the time of the order. The Ticket will also be made available in the “My Orders” section.
    2. In cases where the Ticket is nominal, it cannot be transferred, either for a fee or free of charge, to a subject other than the one indicated at the time of purchase.
    3. It is the User's responsibility to verify the Ticket that is delivered to them. If they find discrepancies between the purchased Ticket and the one actually received, the User must contact Evients - at the contact details provided in point 10) - within eight days of receiving the Ticket and in any case no later than forty-eight hours before the start time of the Event. Evients commits to provide the correct Ticket within ten working days and/or in any case by the start time of the Event.
    4. It is the responsibility of the Holder to keep the Ticket for the entire duration of the Event and to present it at the time of access to the Event. The Ticket is valid exclusively for the Event for which it was issued, at the location, time, and day indicated therein. It is strictly prohibited to duplicate, falsify, transfer, or steal the Ticket.
    5. The personnel appointed by the Organizer or the subject managing the venue and/or space hosting the Event has the right to cancel the Ticket if it is found to be irregular according to the preceding point and to deny entry for reasons of safety and public order.
  7. Right of Refund

    1. Evients recognizes the right of refund of the Ticket price to the User only in the case of non-delivery or delayed delivery of the Ticket by Hexation to the User as provided in point 6).
    2. The User is also recognized the right of refund of the Ticket price in all cases where the Organizer grants such a refund, for which the User must contact the Organizer directly or send a specific request to the customer support provided by Hexation. In the event of no response from the Organizer, the User must necessarily contact the customer service provided by Hexation.
    3. In the event that the Event is postponed or canceled due to force majeure, the regulations (including those related to refunds) in force at the time of the Event will apply. It is the User's responsibility to verify the latest updates, including those published on Evients, in the case of postponed or canceled Events.
    4. In the case of an event articulated by the number of artists, the absence (or replacement) of one or more of the artists listed in the list of participants in the Event provided by the Organizer and published on Evients cannot be considered equivalent to a cancellation of the Event, unless the Organizer cancels the entire Event.
    5. Any amounts that Hexation must pay as a refund will be credited through the payment platform in use on Evients, and, if not possible, via bank transfer arranged by Hexation using the bank details provided by the User.
    6. Hexation will not provide refunds or replacements for tickets that are lost, damaged, destroyed, or stolen.
  8. Exemption from Liability

  9. Hexation shall not be held liable in cases of the Ticket Holder's inability to attend the Event caused by:
    1. the entry of false or incorrect data by the User (at the time of order);
    2. the failure to receive the confirmation email due to the User's email service provider;
    3. changes made by the Organizer regarding the date, time, location of the Event, price, and availability of Tickets, participating artists in the Event;
    4. the cancellation of the Ticket at the request of the Organizer for security and public order reasons;
    5. malfunctioning of the devices and connections provided by the Organizer in the case of Ticket issuance through their own ticket office and/or during access control to the Event;
    6. by the refund policy adopted by the Organizer.
  10. Exclusion of the Right of Withdrawal

    1. Pursuant to the combined provisions of Articles 55 and 59, paragraph 1, letter n), of the Consumer Code, the User's right of withdrawal in relation to Tickets already purchased is excluded. Such exclusion is also extended to the non-Consumer User.
    2. Evients may, however, reserve the right to grant a refund for the Ticket.
  11. Assistance and Contacts

    1. For assistance and complaints, the User may contact Evients by sending an email to the following address: (evients @ evients.com) or to the P.E.C. certified email address (hexation @ pec.it), the latter being enabled to receive only emails sent from certified email addresses.
    2. The User may contact Evients by sending requests in both Italian and English. Evients will respond in the language used by the User.
    3. Any request received in a manner different from that provided for in this article will not be processed.
  12. Applicable Law and Jurisdiction

    1. The Contract is governed by Italian law.
    2. Any dispute relating to the application, execution, interpretation, and violation of the Contract shall fall under the jurisdiction of the Court in which the Consumer has their residence or domicile, if located within the territory of the Italian State, or the Court of Bologna if the Consumer has their residence or domicile outside the territory of the Italian State.
    3. In the event that the purchase of Tickets through the Site or the App is made by a non-Consumer User, any dispute relating to the application, execution, interpretation, and violation of the Contract shall fall under the exclusive jurisdiction of the Court of Bologna.
